These General Terms and Conditions of Sale (hereinafter "GTCS") govern the contractual relationship between xPirience Sàrl (hereinafter "the Provider") and any natural or legal person (hereinafter "the Client") subscribing to the Provider's services, including its audit, consulting, support activities, custom solution development, as well as its software solutions (such as KANZen, Spendzen, etc.).
The purpose of these GTCS is to define the rights and obligations of the parties in the context of the provision of services and solutions by xPirience Sàrl. They apply without restriction or reservation to all commercial relationships concluded by the Provider with buyers of the same category.
Ordering a service (audit, consulting, support) or subscribing to a software solution is done through the signature of a quote, a service contract, or via dedicated online order forms. The order is only considered final after acceptance by the Provider and, where applicable, payment of the deposit or the first term by the Client.
Services are provided at the current rates appearing on the website or on the quote/contract accepted by the Client. Prices are expressed in Swiss Francs (CHF) or Euros (EUR) excluding taxes, according to the commercial offer.
Payment is due according to the terms defined in the commercial offer (flat rate, monthly, or annual). Any late payment may lead to the suspension of services or access to the solutions.
One-off services (audit, consulting) end upon delivery of the final deliverable. Subscriptions to software solutions are concluded for an indefinite period with a minimum commitment period if specified. Each party may terminate a recurring service contract with 30 days' written notice for the end of a contractual period.
xPirience Sàrl undertakes to provide its services with diligence and according to professional standards (best efforts obligation). It cannot be held liable for indirect damages, loss of data, loss of business, or service interruptions related to external factors.
These GTCS are subject to Swiss law. Any dispute relating to their interpretation and/or execution falls under the jurisdiction of the competent courts of the registered office of xPirience Sàrl.
